Position Summary:

Alignment Healthcare is looking for a Deputy General Counsel, Business Transactions to perform a broad range of legal work with a focus on supporting M&A, joint ventures, and other strategic transactions.   The Deputy General Counsel, Business Transactions will report to the Senior Vice President, General Counsel and will have the following responsibilities:

General Duties/Responsibilities (May include but are not limited to):

  • Advising on the full lifecycle of merger and acquisition transactions, from initial structuring and letter of intent, through due diligence, deal structuring, and closing
  • Working with internal teams and outside counsel to manage IP, securities, employment benefits, tax, and other corporate matters impacting M&A deals
  • Preparing and reviewing disclosure schedules, tracking diligence materials, and creating and updating supplemental request lists
  • Handling contract negotiations and integration and transition service agreements
  • Drafting term sheets and other preliminary documentation
  • Managing regulatory filings and approvals, closing preparation, and post-closing integration

Minimum Requirements:

1.     Minimum Experience:

  • 5+ years of legal experience covering mergers and acquisitions, strategic investment and/or private equity, including experience as lead associate

2.     Education/Licensure:

  • Juris Doctorate degree with strong academic record from an accredited law school

3.     Other:

  • Prior in-house experience preferred but not required
  • Experience with healthcare transactions preferred
  • Exceptional analytical ability and advocacy skills
  • Excellent written and oral communication and negotiation skills
  • Demonstrated ability to drive execution in a team environment, integrating legal advice and business knowledge while providing balanced advice regarding risks and benefits
  • Developed business acumen, with ability to understand the company's business interests and anticipate the nature and magnitude of issues that could arise in various settings
  • Practical and proactive problem-solver; confident, mature, calm under fire, with a positive attitude
  • Strong work ethic for a fast-paced environment
  • Admission to the bar in the United States
